The Hannaian Publishing Acquisition Contract

The typical Hannaian contract reflects its mission to assist independent producers of entertainment and creative products by offering musical artists and authors an all encompassing contract without controlling the artist's employment opportunities or creative endeavors. The contract is basically a joint venture cooperative agreement granting the Company a portion of the copyrights, publishing rights and administrative rights in the compositions and productions in return for royalty payments and performance by the Company in the following five areas:

1. Promotion within the industry
2. Promotion to the general public
3. Publishing
4. Manufacturing
5. Distribution.

The contract offers these benefits without the restrictions imposed by the typical recording or literary publishing contract offered by record companies and literary publishing houses. In contrast the typical recording or publishing contract is an employment contract which employs the artist to exclusively record or write for the company for a period of time. Such contracts typically exercise a significant amount of control of the artist's talent and career. The Hannaian approach leaves all of this control with the artist and in effect provides for a joint venture with the artist or author in a cooperative effort to promote, expose and produce income from the production. Artists, producers and authors can then concentrate on independently producing their artistic productions knowing that they have an avenue to exploit the production without unnecessary and unneeded control and influence over their artistic expressions. They therefore retain control of their own independent production business, which is their most important, and valuable asset.

As a publishing company Hannaian's major emphasis is in marketing the publishing rights in the creative work and as such will generally not handle a production in which it cannot obtain a commensurate amount of ownership of the copyright and publishing rights. Hannaian's distribution of the physical record or publication is an important part of its publishing activity in that it is the exposure which the widespread sale or use of the physical product acquires which ultimately makes the publishing rights valuable.
